Was ist Crowdinvesting?

Crowdinvesting is a way for companies to raise funds from a large number of people, typically through an online platform.

Investors can choose from various projects and invest as little as €1,000. The minimum investment amount can vary depending on the project.

Investors receive a share of the company's profits or assets in exchange for their investment. This can provide a potential return on investment.

Investors can also sell their shares on secondary markets, allowing them to exit their investment if needed. This adds liquidity to the investment.

Crowdinvesting platforms often provide detailed information about the projects, including financial data and business plans. This helps investors make informed decisions about their investments.

Investors can diversify their portfolios by investing in multiple projects, spreading risk and potentially increasing returns.

Crowdinvesting platforms offer a range of investment opportunities, but it's essential to understand the risks involved. Die FMA warns that the risks associated with crowdinvesting can be swift and severe, potentially leading to a total loss of invested capital.

Some platforms, like BetonGold, allow investing in top-tier real estate with a minimum investment of EUR 500, offering returns of 5.25 to 7% depending on the property type.

The costs of using a crowdinvesting platform can vary significantly. According to available data, the fees for companies using these platforms range from 8 to 13% of the raised capital, depending on the services required.

Here's a breakdown of the costs for companies using a crowdinvesting platform:

Note that these costs do not include additional fees for services like campaign marketing or investor management.

In Austria, the rules for crowdfunding and crowdinvesting are quite clear. Einzelpersonen can invest up to 5,000 Euro in a single project, unless the investment exceeds their global, double monthly net income in the year or 10% of their financial assets.

The rules become more complex when it comes to the amount of investment. If the investment volume exceeds 1.5 million Euro, a prospect for the project/company must be published, which is referred to as a "prospektpflicht light". This requirement becomes a full prospect obligation if the investment volume exceeds 5 million Euro.

Most crowdfunding projects in Austria fall into the category of investment volumes between 100,000 and 1.5 million Euro, where an information sheet is required.

In contrast, Germany has stricter rules. An information sheet must be published from the very first Euro invested, and a full prospect obligation applies if the investment volume exceeds 1 million Euro.

To invest in a crowdfunding project in Germany, you must submit a signed information sheet to the issuer from an investment of 250 Euro. If you invest more than 1,000 Euro, you must also prove that your financial assets exceed 100,000 Euro or that your monthly net income is at least twice the planned investment.

National Framework: Alternative Financing Act

The Alternative Financing Act (AltFG) is a national framework that governs investment platforms operating within Austria. It's used by smaller, local platforms that don't offer transferable securities.

These platforms are confined to the Austrian market and are overseen by local trade authorities, not the FMA. This can simplify the regulatory burden for these platforms.

The AltFG imposes financial and disclosure requirements, allowing issuers to raise up to EUR 2 million per 12 months.

Issuers may need to provide a full capital market prospectus or a shorter information document under certain volumes.
